北京發展(00154.HK)  0.000 (0.000%)   公布，與Khazanah Nasional Berhad簽訂框架協議，透過收購其持有的中馬泰安投資及中馬常德投資的100%股權，及其結欠約7,200萬美元之股東貸款，進軍內地垃圾發電業務。

公告未有透露今次交易整體作價，惟收購代價將部份以現金8,679萬元人民幣(折合約1.11億港元)或賣方選定的其他貨幣相等值支付，部分以發行3.47億股普通股股份，每股發行價為1.6港元。估計交易最快於兩個月內簽署正式買賣協議。

中馬泰安投資及中馬常德投資主要從事投資控股，並全資擁有泰安中科環保電力及常德中聯環保電力；該兩公司分別在中國山東省及湖南省從事垃圾焚燒發電業務。

北京發展(香港)表示，冀透過是次收購進軍垃圾焚燒發電業務領域，改善財務表現；惟有關收購不一定落實。(ce/c)
